If you create an account or are given access to a client dashboard:

• You are responsible for keeping login credentials secure.
• You agree to use your account only for lawful business purposes.
• Notify us immediately of any unauthorised access or suspected breach.

We reserve the right to suspend or terminate access for misuse, non-payment, or violation of these Terms.

4. Fees & Payments

All fees are quoted in the currency stated in your agreement or checkout page.

• Payments are due in advance unless otherwise stated.
• Subscriptions renew automatically unless cancelled in writing prior to renewal.
• Late or failed payments may result in paused or terminated service.
• Refunds are issued only in accordance with the terms of your written agreement.

5. Acceptable Use

You agree not to:

• Use our Services for spam, illegal marketing, or harassment.
• Upload or transmit viruses, malware, or malicious scripts.
• Reverse engineer, copy, resell, or distribute our software or data.
• Use our Services in violation of data-protection or anti-spam laws (e.g. GDPR, CAN-SPAM, PECR).

We reserve the right to audit activity and suspend any user or account engaging in prohibited actions.

6. Intellectual Property

All website content, branding, text, graphics, and software are owned by or licensed to AutomationX AI.You may not copy, reproduce, or distribute our content without prior written consent.Any deliverables or systems built under contract remain our property until full payment is received.

7. Client Data & Confidentiality

Both parties agree to maintain confidentiality of all proprietary or personal data shared during the engagement.We process client data in accordance with our Privacy Policy.

Clients are responsible for ensuring that any contact or data provided for lead generation is legally obtained and compliant with applicable privacy regulations.

8. Service Availability

We strive for continuous uptime but do not guarantee uninterrupted or error-free operation.Maintenance, updates, or third-party outages may occasionally cause downtime.

9. Disclaimers

Our Services are provided “as is” and “as available”.We make no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.We are not responsible for the outcome of leads, conversions, or business results unless expressly guaranteed in writing.

10. Limitation of Liability

To the fullest extent permitted by law, AutomationX AI shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, revenue, or data;
• Issues arising from third-party integrations, APIs, or communication platforms.
• Our total liability shall not exceed the total amount paid to us by you in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless AutomationX AI and its affiliates from any claims, damages, or expenses arising from your misuse of the Services or violation of these Terms.

12. Termination

Either party may terminate a contract with written notice per the terms of your agreement. Upon termination:

• You must cease using our Services;
• Outstanding invoices remain payable;
• Any non-public data you have provided will be deleted or returned as agreed.

13. Governing Law

These Terms are governed by the laws of England and Wales (or your local jurisdiction if stated in contract).Disputes shall be resolved in the courts of England and Wales unless both parties agree otherwise.
